CONDITIONS OF SALE

1. GENERAL

The following terms and conditions (“Conditions of Sale”) shall apply to all sales relating to roof top tents (for cars) hereinafter referred to as the “Products” which the “Customer” can order from ZIFER ITALIA S.r.l. with headquarter in Rivarolo Mantovano, viale Risorgimento n. 23 (VAT number and Tax code 01329850208) hereinafter referred to as “ZIFER” or “the Seller”, by accessing the Internet site identified by the shop.autohome-official.com domain name (the “website” ). These Conditions of Sale apply exclusively to purchases made directly on the Website. The Conditions of Sale applicable to orders placed via the Website are the conditions in effect when the order is placed. When you tick the “I accept” box in the order confirmation section of the Website, before placing your order, you confirm that you have read, understood and that you fully accept the Conditions of Sale. If you reject the Conditions of Sale, you will not be able to order any product on the Website.
The consumer’s acceptance of the Conditions of Sales, together with the description of the features of each supplied products you can find on the website, will automatically determine the fulfilment of the information obligations provided for before the conclusion of the contract, in compliance with the principles of fairness, loyalty and good faith, in order to guarantee the consumer full protection. Whoever intends to use the website is also required to accept the Policy Privacyconditions, which are to be considered an integral part of these Conditions of Sale.

2. WHO CAN MAKE THE PURCHASES

The sales offer and the sale of the products which can be found on this site are intended exclusively for persons resident or domiciled in a European country, including Switzerland and the United Kingdom.
Please note that in transactions with non-EU countries, the sales price does not include VAT, taxes and duties that will be charged to the buyer and will be charged and calculated by the competent authorities. Shipping costs never include charges for the fulfilment of obligations related to the customs clearance of the products; the Customer will pay VAT and duties at the time of delivery. Moreover, costs related to the storage of goods beyond the terms are not included in the sales price. Purchases may only be made by persons who
– have reached the age of majority (eighteen years in Italy)
– have the legal capacity to enter into contracts; in case of minors or persons not legally able to enter into a contract, a parent or legal guardian must enter into an order on their behalf and accept these Terms of Sale. Any orders placed in breach of these provisions will be declared null and void. It is only possible to proceed with a purchase after registering on the website.

3. AVAILABILTY OF THE PRODUCTS

All orders placed on the Website are subject to availability and acceptance by ZIFER, which reserves the right to modify the range of articles offered on the Website. The Customer Service and the product pages on the Website provide all the information relating to the products and their availability.
If the products selected by the Customer are wholly or partially unavailable, the Seller shall inform the Customer; in the event of payment, the Seller shall refund the price paid and the order shall be deemed cancelled.

4. PERSONAL INFORMATION

To place an order on the Website, the Customer will be required to register and, in particular, to provide valid and up-to-date personal information, including name, surname, residential address, postcode, tax code and e-mail address. This information is necessary for the correct management of the purchase; we, therefore, invite the Customer to provide accurate and truthful information.
The Seller and the manager of the site are exempt from any liability for any personal information not corresponding to the truth.

5. ORDERS

If you wish to place orders on the Website, the order placed will be handled as specified below. The information relating to the products, with the relevant codes, is available on the website with reference to each product present therein; this information is provided in accordance with the provisions of Article 49 of the Consumer Code. Before proceeding with the purchase, the user must register on the site by filling in the “Customer card”. Once registered, the Customer may proceed to choose the Products. The Customer must then click on “purchase online” to add the Product to the selection and proceed with the purchase and in the same way add further Products to the cart. The Customer may view, change, and integrate the data before completing the order, or eliminate one or more products from the cart.
Before proceeding to the purchase of the Products, through the transmission of the order form, the Customer will be asked to carefully read the Conditions of Sale.
The order form will be filed in the database of Zifer Italia s.r.l. for the period necessary to process orders and, in any case, in accordance with the law. The Customer will be asked, at the time of completing the purchase, to provide other personal information, including the billing address, the shipping address if different from the billing address, the tax code and payment details. The Customer guarantees that all personal information provided is true and correct, indemnifying and holding the Seller harmless from any liability. Please refer to the Privacy Policy for further information on how the company Zifer Italia s.r.l. uses and how long it keeps the personal information provided. The order will have to be accepted by ZIFER by means of an “order confirmation”.

6. PRICES, TAXES, DUTIES AND SHIPPING COSTS

All prices reported on the product pages of the website are inclusive of VAT, net of shipping costs, taxes, and other charges to be added, which will be borne by the Customer.
It should be remembered that in transactions with non-EU countries, the sales price does not include
VAT, taxes, and duties, which are the responsibility of the purchaser and will be requested and calculated by the competent authorities. Shipping costs never include charges for the fulfilment of obligations relating to the customs clearance of the product; the Customer will pay VAT and duties at the time of delivery. Moreover, any cost relating to the storage of goods beyond the terms are excluded from the sale price.
The payment currency used for the purchase transaction is the euro. Shipping costs and VAT will be indicated separately on the order form and will also be shown on the order acknowledgement and invoice. The VAT applied to purchases will be charged differently depending on the rates in force in the different countries.
Any change and/or update to the VAT rates will be reported.
The Seller is not liable for currency differences in the event of purchases and/or refunds of the price paid for the sale in foreign currency. In the event of currency conversion, the Seller and/or the Manufacturer are not liable for the difference between the value of the initial payment and the value of the corresponding refund; risks associated with currency exchange and differences in value due to exchange rate fluctuations within the transaction lie solely and exclusively with the Customer.

7. CUSTOMER’S CHECK AND CONFIRMATION

The Customer must carefully check all details before proceeding, including, without limitation, the details of each purchase. Once the order has been carefully checked, the Customer must tick the box next to “I agree with the conditions of service and I will accept them unconditionally” to confirm his/her general and binding acceptance of the Conditions of Sale; then, he/she must click on the “proceed to checkout” button to make the purchase.

8. PAYMENT

Payment can be made by all means indicated on the Seller’s website. Credit/debit card holders are subject to validation and authorisation checks by the card issuer or the chosen payment service. If the payment card issuer denies authorisation for payment due to ZIFER, it is the Customer’s responsibility to contact the issuer to solve the problem. In the event of payment by credit card, financial information (e.g. credit/debit card number or expiry date) will be forwarded via encrypted protocol to the credit institution appointed by ZIFER for the purpose of carrying out the payment procedures, the remote electronic payment services, without third parties being able to access them in any way. Only upon receipt and subject to successful payment, Zifer shall proceed to process the order. Payments shall be made within and no later than 5 days from the completion of the order, in this case the delivery terms set out in art. 11 may be respected.

9. SECURITY

Zifer Italia s.r.l. is committed to protecting the Customer’s personal information throughout the online sales process. However, the security and integrity of the data transmitted to the website cannot be guaranteed and, therefore, Zifer Italia s.r.l. cannot be held liable for damages or losses resulting from the use of the Internet, for example, in the case of hacking (illegal intrusion into computer systems).

10. ORDER ACKNOWLEDGMENT AND ORDER CONFIRMATION

In accordance with the provisions of Article 49 of the Consumer Code, at the time of the order confirmation ZIFER will send the Customer by e-mail information on the main features of the purchased products (published under the single items on the https://www.autohome-official.com/ website) such as the detailed indication of the price or information on delivery costs. The Customer shall without delay check the content of the communication and immediately report to ZIFER about any errors or omissions. The order acknowledgement will contain an order reference number assigned by ZIFER. Once received, the Customer must read the Conditions of Sale carefully and keep the Order Reference Number for possible searches related to the Order.

11. SHIPPING – TRANSPORT – PACKAGING

Shipping costs, as determined in accordance with article 6, are shown on the order form and will be added to the price of the ordered products. Information on the delivery time for orders to Customers residing in the European Union is merely indicative; delivery time varies from a minimum of 1 week to a maximum of 3 weeks from the reception of payment and, in any case, it will not be later than thirty days from the conclusion of the contract, reserving the right to add an additional period if necessary during the high season, from March to August. For further information on the delivery terms, the Customer is invited to contact the Manufacturer directly. The Seller shall not be held liable for any delay in the delivery of the order.

PACKAGING

The goods must be returned in their original packaging (box and protective covers). Alternatively, the Customer shall provide for adequate packaging of the goods at his/her own expense and will be liable for any transport damage. The Manufacturer or the Seller may provide the original packaging upon request. The Customer may also return the goods to the point of sale where he/she has made the purchase or directly to the Manufacturer.

TRANSPORT AND PACKAGING

All products are packed in a sturdy cardboard box with internal polystyrene protections.
1. Before releasing the goods to be sent to their destination, check that the packaging is intact; should you find packaging which has been tampered with or missing packages (damaged cardboard boxes), they must be declared and reported on the transport documents with the carrier countersigning the notes for acknowledgement of receipt or, in any case, duly reported within the day following delivery.
2. In this way, the insurance company will reimburse any damage, otherwise the client will bear the loss.
We will not accept late reports or complaints.

12. INVOICES

After the order processing, ZIFER issues the relevant invoice, which will be enclosed with the Product if the billing address corresponds to the requested destination address; otherwise, the invoice will be sent by e-mail to the billing address indicated by the Customer.

13. CUSTOMER’S RIGHT OF WITHDRAWAL

Pursuant to Article 52 of the Consumer Code, the Customer may exercise the right of withdrawal by sending written notice to ZIFER at the following address: [email protected]; this must be done within 14 days of receipt of the purchased Products, specifying the order number, the product for which you intend to exercise your right of withdrawal, your billing information and an e-mail address at which you may be contacted. The withdrawal notice must specify the intention to withdraw from the purchase.
Following the correct exercise of the right of withdrawal, the Customer will be contacted by the Customer service of ZIFER which will coordinate the return procedure and the handling of the refund.
The refund will include the price paid for the sale and only the initial shipping costs charged. Any additional or higher shipping costs required to return the Product shall be borne by the Customer, as well as any duties and costs relating to the storage of goods beyond the terms. Please also note that the right of withdrawal is understood to have been executed upon completion of the return and delivery of the product. The responsibility for returning the product lies with the Customer.
The right of withdrawal shall be deemed to have been properly exercised if following conditions are fully met
– a notice is sent by e-mail to exercise the right of withdrawal within fourteen (14) days from the date on which the Customer received the products, containing all the required information.
– the products must not have been used or damaged; We do not accept returns of used goods.
– products must be returned in their original wrapping and in the packaging received by the Customer.
After ZIFER has received the return and checked that all requirements have been met, it will send an e-mail confirming the acceptance of the returned goods. The refund will be activated as soon as possible and, in any case, within 14 days of receipt of the consumer’s decision to withdraw from the contract and/or return of the product. The Seller will make the refund referred to in the first paragraph using the same payment system chosen by the consumer.
The Seller may withhold the refund until he/she has received the return of the product, or until the consumer has proved that he/she has returned the goods.
The Customer is responsible for the return and shipping of the product, for any decrease in the product value resulting from its handling or for any tampering and/or misuse that causes damage to the item.
The return procedure is considered completed upon receipt by the Customer of the credit note, whose amount is equal to that of the purchase invoice, minus the costs of collecting the returned goods borne by the Customer and the receipt of the bank transfer relating to the return.
In the event of currency conversion, the Seller and/or the Manufacturer are not liable for the difference between the value of the initial payment and the value of the corresponding refund; the risks associated with currency exchange and differences in value due to fluctuations in the exchange rate of the transaction, lie solely and exclusively with the Customer.
Pursuant to Art. 59 Par. I let. c) of the Consumer Code, the right of withdrawal is excluded in relation to the supply of goods that are clearly customised or made to the Customer’s specifications.

14. WARRANTY

The warranty period is 2 years from the date of purchase/delivery of the product. There is an additional 5-year warranty on the components of the roof top tents opening system. Specifically, the 5-year warranty is limited to the simple supply of the damaged component; all additional costs, shipping, transport, labour, and materials required for repair and/or functional work on the damaged component and anything else will be calculated and charged separately.
The Warranty does not cover defects caused by an improper usage or due to normal wear and tear of the components.
Each Autohome roof top tent is marked with a Serial Number (label on the inside of the roof top tent door band) which identifies the roof top tent and the quality checks it has undergone.

WARRANTY REGISTRATION

In order to make use of the Warranty without the need to supply additional documentation, the Customer is required to register the Warranty on the website under the link “Warranty registration”.

WARRANTY VALIDITY

If the Customer has not registered the Warranty, he/she must produce a copy of the invoice and/or a purchase receipt or a valid document proving the payment.

WARRANTY ACTIVATION

If the Customer wishes to assert the warranty, he/she must contact:

a) the serial number of the product (label detectable on the inner band of the roof top tent door);
b) the conformity defect found, documenting it with photographs and specific notes, indicating his/her e-mail address and telephone number.
The Seller undertakes to contact the Customer to coordinate the check of the defects complained of on the product.
The Manufacturer informs the Customers that repair under warranty for defects of aesthetic nature and in any case concerning defects that do not compromise the functionality and safety of the product, will be carried out exclusively during the months of October, November, December, and January and, therefore, collections will be organised during such periods. In this case, the warranty period shall be suspended from February to September included.

TERM OF COMPLAINT FOR THE EXECUTION OF THE WARRANTY

If any defects are found, the Customer may make use of the following legal warranties:
– Legal Warranty for the Consumer Customer envisaged by the “Consumer Code”, Legislative Decree no. 206 of September 6th 2005: the Consumer, under penalty of forfeiture, is obliged to notify the Seller of any lack of conformity found in the product purchased within 2 (two) months after its discovery, subject to the checks referred to in the following points.
– Legal warranty for the non-consumer Customer (Professional) provided for by the Civil Code: the non-consumer Customer, under penalty of forfeiture, is required to report to the Seller any defect found in the purchased product within 8 (eight) days of discovery. The legal Warranty referred to above is valid for a maximum term of 12 (twelve) months from the delivery of the Product, subject to the checks referred to in the following points. Beyond these terms, the Seller shall not be liable for any defects found by the Customer.

RETURN AUTHORISATION FOR THE EXERCISE OF WARRANTY RIGHTS

The return of goods under warranty may only be carried out subject to:
a) written authorisation from the Manufacturer if the goods are to be returned to the Manufacturer’s headquarter;
b) written authorisation from the Seller if the goods are to be returned to the Seller’s headquarter.
Returns will not be accepted without a written authorisation. Any shipment outside the General Conditions of Warranty will be at the Customer’s expense.
In any case, the legal warranties provided for by the Civil Code and the Consumer Code apply to the sale of the Products.

RETURN UNDER WARRANTY FOR DEFECTIVE PRODUCTS

The return of goods under warranty may only be carried out subject to:
1- 1- The Manufacturer authorises the return because he/she acknowledges the defective products
a – Goods purchased at the point of sale
If the Manufacturer, through the documentation which has been sent (photos and notes) ascertains the defect complained of, the Customer, at his/her own expense, must return the defective product to the point of sale where he/she made the purchase, with the original packaging and internal polystyrene protections, or equivalent; the Manufacturer will, at its own expense, collect the goods from that point of sale for a limited overland distance (max 1,000 km). If the Customer is not in possession of the original packaging, he/she can request it from the Seller or from the Manufacturer, who will deliver it free of charge, including the internal protections, to the point of sale. The Manufacturer, having ascertained and acknowledged the defect of the product, will repair the goods, or replace them within a reasonable period of time and in any case within 45 days from receipt of the goods, returning them, at its own expense, to the point of sale.

If the Manufacturer, through the documentation sent (photos and notes), ascertains the defect complained of, the Customer must send the goods with the original packaging and internal polystyrene protections, or equivalent, and all transport costs will be borne by the Manufacturer. If the Customer is not in possession of the original packaging, it can be requested from the Manufacturer, who will provide it free of charge, including the internal protections. Once the defect in the product has been ascertained and acknowledged by the Manufacturer, it will repair the goods or replace them within a reasonable period, and in any case within 45 days from receipt of the goods, returning them directly to the Customer at its own expense.

In both cases (a, b) no liability is accepted for incorrect or inadequate packaging. Refunds for other expenses and/or compensations are excluded.

GOODS RETURN FOR THE ASSESSMENT OF THE WARRANTY COVERAGE

9.1 The Manufacturer must ascertain the defect
a – Goods purchased or collected at the point of sale
If the forwarded documentation (photos and notes) is not sufficient to establish responsibility for what has been complained of, the Customer must advance all transport costs. The Customer, at his/her expense, is required to return the product to the point of sale where he/she made the purchase with the original packaging and internal polystyrene protections, or equivalent, which will take care of delivery to the Manufacturer. If the Customer is not in possession of the original packaging, he/she can request it from the Manufacturer or from the Seller, advancing all packaging and transport costs. If the Manufacturer ascertains the defect, it will repair the goods at its own expense, or replace them within a reasonable period of time and in any case within 45 days of receipt, returning the goods to the point of sale, reimbursing the Customer for the transport costs incurred for a limited overland distance (max. 1000 km) and any packaging costs incurred in advance.

The Customer shall return the product with the original packaging and internal polystyrene protections, or equivalent, at his/her expense. If the Customer is not in possession of the original packaging, he/she can request it from the Manufacturer, anticipating all packaging and transport costs. If the Manufacturer ascertains the defect, it will repair the goods or replace them within a reasonable period of time and in any case within 45 days of receipt, returning the goods to the Customer and reimbursing the Customer for the transport costs and any packaging costs paid in advance.

In both cases (a, b), no liability is accepted for incorrect or inadequate packaging. Reimbursement of other expenses and/or compensations is excluded. If the defects complained of are not covered by the warranty, the extent and cost-effectiveness of the repair shall be assessed and communicated to the Customer, who shall authorise the repair and bear all transport costs and expenses.

15. AFTER-SALES SERVICE

ZIFER guarantees the after-sales service. For any request or question regarding repairs, please contact the Customer Service at the following address: [email protected]; ZIFER undertakes to contact the Customer within 7 (seven) working days, in order to coordinate and communicate the methods, times and costs for the assistance.
The costs of after-sales assistance for cases not provided for by Article 14 (Warranty) are entirely borne by the Customer.

16. INTELLECTUAL PROPERTY RIGHTS

The brand AUTOHOME, as well as all other trademarks and intellectual property rights relating to the products and packaging (including design, text, photographs, graphic images, logos) are and remain exclusive property of the company ZIFER ITALIA S.R.L; It is, therefore, forbidden to use, reproduce and/or copy, sell or transfer this content to third parties for any reason whatsoever.

17. APPLICABLE LAW AND SETTLEMENT OF DISPUTES

The sale referred to in these general conditions is governed by Italian law and, in particular, by the Legislative Decree No 206 of September 6th 2005 and subsequent amendments (Consumer code), with specific reference to the regulations on distance contracts, as well as by the Legislative Decree No 70 of 9th April 2003 for some aspects concerning the electronic commerce. For disputes arising from the interpretation, validity and/or execution of the contract and of these Terms of Sale, the mandatory territorial jurisdiction shall be that of the judge of the place of residence or domicile of the Customer/consumer, if resident in Italy. Within the EU (Regulation no. 44/2000) the consumer may sue the other party before the court of the State of his/her domicile, avoiding a judgement abroad, or before the court of the State of domicile of the other party, if deemed convenient. For the determination of the competent court, alternative rules to the general ones provide that “for cases relating to rights of obligation, the court of the place where the obligation arose or is to be performed shall also have jurisdiction”. Except in the cases mentioned above, jurisdiction shall lie exclusively with the Courts of Mantova.
